Terms of Service

Effective June 17, 2026

Welcome to ExhaleMediaDesigns Studio (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Account Eligibility & Access

Access is granted by invitation and admin approval. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must promptly notify us of any unauthorized use.

2. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Attempt to access another user's account, data, or files.
  • Reverse engineer, scrape, or interfere with the operation of the Service.
  • Upload viruses, malware, or other harmful code.

3. Proprietary Technology & Ownership

The Service — including all software, source code, server-side processing engines, AI models, color libraries, presets, user interface, brand assets, and documentation — is the exclusive intellectual property of ExhaleMediaDesigns Studioand is protected by U.S. and international copyright, trade-secret, and other intellectual property laws.

Without limiting the foregoing, ExhaleMediaDesigns Studio expressly claims ownership of the proprietary Crystal Halo™ stone-placement technology, the AI Auto-Configure recommendation pipeline, the face-digitizing and portrait-mode pipelines, the color-mapping and mix-mode logic, and the cutter-export packaging system. These technologies are trade secrets of ExhaleMediaDesigns Studio. You may not copy, reproduce, reverse engineer, decompile, disassemble, scrape, or attempt to derive the underlying algorithms or source code of the Service by any means.

4. Copyright & User-Uploaded Content

You are strictly prohibited from uploading, processing, storing, or distributing any material through the Service that you do not own or do not have an explicit license to use. This includes — but is not limited to — copyrighted images, logos, trademarks, artwork, fonts, designs, photographs, and AI training data.

We reserve the right, in our sole discretion, to remove any content that we reasonably believe infringes a third party's intellectual property rights, violates these Terms, or is otherwise inappropriate. Repeated or egregious violations will result in account suspension or termination without refund.

You retain ownership of original content you upload, and you grant us a limited, non-exclusive license to store, process, and display that content solely to operate the Service for you. Outputs generated by AI tools within the Service from your input are provided "as is"; you are responsible for verifying that the resulting work does not infringe any third-party rights before commercial use.

5. Output Files & Permitted Use

Files produced by the Service — including SVG templates, DXF cut files, PDF reports, JPEG mockups, JSON project data, and ZIP packages (collectively, "Output Files") — are licensed to you for the following uses only:

  • Producing physical finished goods (e.g. garments, accessories) for your own customers, including commercial sale of the finished physical product.
  • Internal production and workflow copies within your business.

You may NOT, without prior written permission from ExhaleMediaDesigns Studio:

  • Resell, redistribute, sublicense, or publish the Output Files (or any derivative of them) as a standalone product, template pack, or design pack.
  • Use the Output Files, or any portion of them, to train, fine-tune, benchmark, or evaluate any machine-learning model or any competing rhinestone, stone-placement, or pattern-generation software.
  • Remove, obscure, or alter any copyright notice, watermark, embedded metadata, or proprietary marking included in the Output Files.

6. Beta Software

The Service is currently provided as a closed beta release. Access is granted by invitation for evaluation, testing, and feedback purposes only. Beta features may change, be removed, or behave unpredictably at any time. By using the Service during the beta period you agree:

  • To keep non-public features, performance characteristics, internal workflows, and pre-release documentation confidential.
  • Not to publish screenshots, screen recordings, benchmarks, or comparisons of the Service to third parties without our prior written consent.
  • That any feedback, bug reports, or suggestions you provide may be used by ExhaleMediaDesigns Studio without obligation or compensation.

Beta testers may be required to execute a separate Beta Tester Non-Disclosure Agreement. In the event of any conflict between that NDA and these Terms with respect to confidentiality, the NDA controls.

7. DMCA / Takedown

If you believe content on the Service infringes your copyright, send a written notice to gbarker@iglou.com identifying the work, the infringing material, and your contact information. We will investigate and remove infringing content as appropriate.

8. Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted access and may modify, suspend, or discontinue any feature at any time.

9. Limitation of Liability

To the maximum extent permitted by law, ExhaleMediaDesigns Studio is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service.

10. Termination

We may suspend or terminate your access at any time for violation of these Terms. You may close your account at any time by contacting us.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated in the app, and continued use after the effective date constitutes acceptance.
